End User Licence Agreement

This is a legally binding agreement for the Spine OS Template (the "Kit" or "Template"). By purchasing, downloading, installing, or using the Template, you ("you") agree to be bound by it with Mindspan Pty Ltd (ABN 88 377 453 125) ("Mindspan"). If you do not agree, do not purchase or use the Template, and you may request a refund under the Refund Policy.
1. Definitions
"Template" (the "Kit") means the downloadable Spine OS product supplied by Mindspan: the vault structure, folder scaffolding, document and spreadsheet templates, setup and operating guides, governance starter, dashboard, scripts, configuration, sample content, and updates to those items. It does not include any data, records, or files you create, enter, import, or generate after installation.
"Your Data" means everything you create, enter, import, configure, or generate using the Template, on storage you control.
"ACL" means the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)).
2. Licence grant
Subject to payment in full and your compliance with this agreement, Mindspan grants you a perpetual, non-exclusive, non-transferable, non-sublicensable licence to:
- Install and use the Template on machines and storage you own or control, for your own business operations (including, where you operate a service practice, your own internal delivery of client work);
- Adapt and modify the Template — folders, templates, scripts, dashboard — to fit your business; and
- Keep and use the modified Template indefinitely for your own internal business purposes.
The licence is granted to one purchasing person or entity. A separate licence is required for each separate business or legal entity that operates its own copy, except an entity you wholly own or control.
3. Licensed, not sold
The Template is licensed to you, not sold. Mindspan and its licensors retain all right, title, and interest in the Template, including all intellectual property rights in it. Nothing here transfers ownership of the Template to you, and all rights not expressly granted in clause 2 are reserved. You own Your Data (clause 6).
4. What you may do
- Use and adapt the Template for your own operations, on as many of your own machines as you reasonably need.
- Make backup copies of the Template for your own use.
- Create, store, and rely on Your Data in open, portable formats on storage you control.
- Receive lifetime updates to the Template line you purchased (clause 7).
5. Restrictions
You must not, and must not permit any other person to:
- Resell, redistribute, sublicense, rent, lease, lend, or give away the Template itself (or any substantial part), modified or not, as a template, kit, starter, course, competing product, or free download;
- Publish or make the Template available to the public or any third party in a way that lets them obtain it without buying their own licence (e.g. posting Kit files to a public repository, file-share, marketplace, or AI training dataset);
- Remove, obscure, or alter any Mindspan copyright, trademark, attribution, or licence notice in unmodified Template files you distribute or display;
- Misrepresent the Template, or anything built with it, as a clinical records system, a registered health service, a certified product, or official guidance from any regulator or board; or
- Use the Template in breach of any law that applies to you.
For the avoidance of doubt: building your own business systems, documents, and workflows on the Template — and using them to run or deliver your business, including client-facing work — is expressly permitted. Clause 5 targets redistribution of the Template product itself, not your use of it.
6. Your data — it stays with you
Spine OS is local-first by design. The Template runs on your own storage. By default, Your Data is not transmitted to, collected by, accessed by, or hosted by Mindspan. Mindspan cannot see Your Data.
You are solely responsible for Your Data, including backing it up, its security on your systems, and meeting any legal, regulatory, or professional obligations that apply to it. If you handle your own clients' information using the Template, you are the custodian of that information. See the Disclaimer and Privacy & Data Handling Policy.
7. Lifetime updates via re-download
While the Template remains commercially available, you are entitled to download updated versions of the Template line you purchased at no additional charge ("lifetime updates"), delivered by re-download from the purchase/download mechanism (e.g. your original download link, or a re-issued link on request).
Updates cover the same product line you bought; a materially new or separate product is not an update. They are provided as and when released — Mindspan does not commit to any schedule, frequency, or specific future feature, and may discontinue the line on reasonable notice. Discontinuation does not revoke your perpetual licence to versions you already hold. Each update is subject to this agreement, or the then-current EULA shipped with that update.
8. Acceptance and assumption of risk
You accept this agreement by ticking the terms checkbox at checkout, by accepting at the wizard’s first-run splash, or by installing or using the Template — whichever happens first. Your acceptance is recorded. By accepting, you confirm you are an adult acting for yourself or your own business, and that you install and use the Template at your sole risk and assume full responsibility for every use you make of it. The Disclaimer — including its assumption-of-risk and indemnity clauses — forms part of this agreement.
9. No warranty beyond the Australian Consumer Law
To the maximum extent permitted by law, the Template is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. Mindspan does not warrant that the Template is error-free, uninterrupted, complete, current, or fit for your particular regulatory, professional, or business circumstances.
Nothing in this agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the ACL or any other law that cannot lawfully be excluded. Where the law permits Mindspan to limit its liability for breach of a guarantee in relation to goods or services not ordinarily acquired for personal, domestic, or household use, that liability is limited (at Mindspan's option) to re-supplying the Template or services, or paying the cost of re-supply.
10. No certification
Mindspan makes no representation that the Template holds SOC 2, ISO 27001, PCI-DSS, HIPAA, FedRAMP, or any other third-party security or compliance certification. No badge or wording should be read as a certification held by Mindspan unless explicitly stated and evidenced.
11. Limitation of liability
Subject to clause 9 (which prevails to the extent of any inconsistency), and to the maximum extent permitted by law:
- Mindspan's total aggregate liability arising out of or in connection with the Template and this agreement — in contract, tort (including negligence), under statute, or otherwise — is limited to the total fees you actually paid to Mindspan for the Kit; and
- Mindspan is not liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, business, goodwill, anticipated savings, or loss of or damage to Your Data.
Nothing in this clause limits liability that cannot be limited under the ACL, or liability for death or personal injury caused by Mindspan's negligence, or for fraud.
12. Term and termination
This licence is perpetual for the Template version(s) you lawfully hold. You may stop using the Template at any time; you keep Your Data.
Because the licence is granted in exchange for the purchase price, your licence to the Template also ends if the purchase price is refunded to you — whether by Mindspan under the Refund Policy or as the result of a chargeback or payment dispute decided in your favour. Merely raising a dispute, or a dispute not resolved in your favour, does not end your licence (see Refund Policy section 6).
If you materially breach this agreement (in particular clause 5), Mindspan may terminate your licence to the Template on written notice if the breach is not remedied within 14 days (or immediately, for a breach not capable of remedy). On termination you must stop using and distributing the Template and delete copies in your control — except that termination does not affect your ownership of, or right to keep, Your Data, and does not require you to delete systems you have genuinely made your own through adaptation. Clauses 3, 6, 8, 9, 10, 13, and 14 survive.
13. Done-For-You tiers and retainer
The Lite, Pro, Bespoke, and Retainer engagements are separate services sold by booking and quote, governed by the service agreement provided at engagement, not this EULA. Where such work delivers a copy of the Template to you, your use of that copy is licensed under this EULA unless the service agreement says otherwise.
14. Governing law and jurisdiction
This agreement is governed by the laws of the State of Victoria, Australia. You and Mindspan submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them.
15. Entire agreement, changes, and contact
This agreement (with the Disclaimer, Privacy & Data Handling Policy, and Refund Policy) is the entire agreement for the Kit. If any provision is unenforceable, the rest continues in force.
Mindspan may publish a new version of this EULA for future supplies and updates; the version in force for your use of a given Template version is the one you accepted on acquiring or updating it, recorded by the acceptance mechanism (a {user, ts, eula_version, eula_sha} record). Published versions are dated and superseded, never silently edited.
