Disclaimer & Limitation of Liability

Read this with the Spine OS EULA, Privacy & Data Handling Policy, and Refund Policy. It tells you, plainly, what Spine OS is — and what it is not.

1. What Spine OS is

Spine OS is a commercial software template for running the back office of a solo operator or very small practice: a local-first vault structure, document and spreadsheet templates, a setup and operating guide, a governance starter, scripts, and a dashboard. It is a starting point you adapt to your business.

Spine OS is not, and must not be relied on as:

The templates and guidance in the Kit are general, illustrative starting points. They are not tailored to your situation, profession, jurisdiction, or obligations. You must review, adapt, and verify everything before relying on it.

3. The Kit’s author

Spine OS is built by Mindspan, whose sole operator is a Registered Australian psychologist. That fact describes who built the product; it does not make the Kit a clinical service, and no professional registration number is published or implied. Any clinical psychology services Mindspan may offer are provided separately, under their own professional and legal obligations, which attach to that clinical service — not to this software product.

4. You are responsible for your own compliance

You are responsible for how you configure and use Spine OS, and for meeting every legal, regulatory, professional, privacy, record-keeping, and industry obligation that applies to your business. This includes any obligations about how you store, secure, retain, and dispose of client or business records. Spine OS gives you local tooling; it does not assume, discharge, or guarantee any of your obligations.

5. Assumption of risk — your use is at your sole risk

By purchasing, installing, or using Spine OS you acknowledge and agree that you are an adult acting for yourself or your own business, and that you voluntarily assume all risk arising from installing, configuring, operating, modifying, or relying on Spine OS. Spine OS is self-hosted software that runs entirely on your own machine: Mindspan has no access to, control over, or visibility of your system, your data, or how you use the Kit. Every decision you make using or around Spine OS — business, financial, professional, data-handling, backup — is your decision and your responsibility alone. If you do not accept this, do not install the Kit; your remedy is a refund under the Refund Policy.

6. No outcome guarantees

Mindspan does not guarantee any business, revenue, time-saving, productivity, clinical, security, or compliance outcome from using Spine OS. Any "before/after" imagery, examples, or illustrations are lifestyle depictions and not representations of results you will achieve. Your results depend on factors outside Mindspan's control.

7. Data, backups, and integrations

Spine OS is local-first: your files stay on your storage and are not hosted by Mindspan by default (see the Privacy & Data Handling Policy). You are responsible for your own backups. Any third-party tool you connect (AI/LLM, scheduling, email, payments, storage) is governed by that provider's terms; Mindspan is not responsible or liable for third-party services, their outages, changes, pricing, security, or data handling.

8. No certification

Mindspan does not represent that Spine OS holds SOC 2, ISO 27001, PCI-DSS, HIPAA, FedRAMP, or any other third-party security or compliance certification. Where the Kit's materials describe mapping to a framework's themes or obligations, that is a design aid only and is not a claim that Mindspan, or the Kit, is certified or compliant with that framework.

9. “As is”

To the maximum extent permitted by law, Spine OS is provided "as is" and "as available", without warranties of any kind except those that cannot be excluded by law. Mindspan does not warrant that the Kit is error-free, uninterrupted, complete, current, or fit for your particular purpose.

To the maximum extent permitted by law, you indemnify Mindspan against any claim, loss, or expense (including reasonable legal costs) arising out of your use or misuse of Spine OS, your breach of the EULA, or your violation of any law or third-party right — except to the extent caused by Mindspan’s own fraud or wilful misconduct.

12. Australian Consumer Law (non-excludable)

Nothing in this disclaimer excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law (ACL) or any other law that cannot lawfully be excluded. Where Spine OS is supplied to you as a "consumer" under the ACL and the relevant guarantee can lawfully be limited, Mindspan's liability for breach of that guarantee is limited (at Mindspan's option) to re-supplying the software, or paying the cost of re-supply, to the extent the law allows. Nothing here limits liability for death or personal injury caused by negligence, or for fraud.
